International Capital Management is a newly formed company comprised of experienced investment banking executives, with concentrations in Alternative (Hedge) Fund Management, Fund Consulting, structuring and implementation of Managed Buy-Sell Programs, and traditional Corporate Finance.

International Capital Management may, from time to time, purchase, and sell various investment instruments for its own account.

International Capital Management may from time-to-time act as the General Partner to Partnerships engaged in investment activities using private funds, so long as the activities, partners, and assets maintain either current licensing or exemptions.

International Capital Management, nor its officers, directors, shareholders, or employees act as a broker-dealer or as a registered investment adviser to individuals.

Fund Consulting

Fund consulting, while seemingly a broad category, essentially consists of financial modeling; with a focus on mathematical buy-sell decision making, sourcing, and placement. 


Managed Buy-Sell

Like much of the funds managed, a structured manged buy-sell program utilizes arbitrage extensively. A wide range of assets may be used, including but not limited to MTN's, SBLC's, and BG's. Through the use of nepotism, these and other asset types are sourced and placed.


Corporate Finance

While this is typically a broad term, International Capital Management limits its activities to advisory and occasionally, consulting engagements. This includes Merger and Acquisition advisory; corporate structuring; valuations; and corporate advisory as to Geo-political economics.

While not averse to other engagements, they are on a case-by-case basis.

 

Registration and Licensing


International Capital Management acts as an investment adviser, which is exempt in the United States from registration pursuant to the Investment Adviser Act of 1940, section 3(c)(1) and 3(c)(7) of the Securities and Exchange Commission.

International Capital Management is however, undergoing the licensing process as an adviser in the European Union, through the European Central Bank (ECB) pursuant to Directive 2011/61/EU of the European Parliament and of the Council of 8 June 2011 on Alternative Investment Fund Managers and amending Directives 2003/41/EC and 2009/65/EC and Regulations (EC) No 1060/2009 and (EU) No 1095/2010.

International Capital Management is also undergoing registration process through the Cayman Islands Monetary Authority – the world’s largest home of mutual funds – as a Mutual Fund Administrator and an Alternative Investment Manager pursuant to Section 10(2) of the Mutual Funds Law (2003 Revision).

In the event that the exemption currently afforded to International Capital Management by the United States Investment Advisers Act of 1940 is rescinded, International Capital Management will complete the registration requirements enacted at that time to remain in compliance.
